Payment Terms

Payment on an order must be received in full before the product(s) will ship. Credit/Debit cards and electronic checks are normally charged the same day that the order is finalized. Customers paying by paper check will see a delay because SIC must ensure your check clears before shipment. Applications for credit will delay shipment 15 days while a verification process occurs.

Risk of Loss

SIC will arrange shipment of the ordered product(s) to the Customer. Risk of loss passes to the Customer, upon delivery to or pick-up by the carrier. SIC will advise Customer of shipping dates, but under no circumstances, will be responsible for delays in delivery, or associated damages due to events beyond reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, flood, civil disobedience, strikes, lockouts, and freight embargoes.

Shipping Companies

SIC uses third party shipping services such as Federal Express and many truck shipping companies. We constantly evaluate the reliability of such companies in an effort to provide reliable and timely service. SIC does not provide any guarantee regarding the performance, or reliability of any shipping company.
Customer is to provide a delivery address, and to verify same on the Sales Order before making payment. Any inaccuracy in the description of the delivery address by the customer may result in additional delivery charges. An example is that shipping to a school is not charged at the same rate for delivery to a company with a loading dock. Any additional delivery charges are the responsibility of the customer and will be charged using the original payment method provided.

Sales Tax

Sales tax is only applied for orders shipping into North Carolina. The sales tax is calculated based upon the total order price, including shipping and handling charges. The Customer is responsible for any sales or use tax that applies for shipments outside North Carolina.

Duty Tax

For shipments to areas where a duty tax is enforced, Customers are responsible for the cost of the tax. SIC may not receive notice of this charge until after the Customer has been billed. SIC will back bill the Customer for this outstanding charge.

Tax Exempt

Customers who are eligible for tax exemption should file a tax-exempt form with SIC. Please make your salesperson aware prior to completing your order.

Active Military and Veteran’s Discount

SIC requires a copy, fax, or digital copy of Active Military Identification, Retired Military Identification, Veteran’s Affairs Identification, or DD 214 Form as proper forms of Identification required to receive the Active Military and Veteran’s discount. This discount cannot be used in conjunction with other promotional offers or coupon codes provided by SIC or any other entity. SIC reserves the right to change the amount of this discount or duration of this promotion at their discretion. Please contact SIC with any questions or concerns 704-504-1127.

Fair Credit Billing Act

By completing your payment through our secure portal, we guarantee that every online transaction you make will be 100% safe. This means you pay nothing if unauthorized charges are made to your card. Under the Fair Credit Billing Act, your bank cannot hold you liable for more than $50.00 for fraudulent charges. If your bank does hold you liable for any of this $50.00, we will cover the entire liability for you, up to the full $50.00. We will only cover this liability if the unauthorized use of your credit card resulted through no fault of your own from purchases made while using our secure server. In the event of unauthorized use of your credit card, you must notify your credit card provider in accordance with its reporting rules and procedures.

Change Orders

You may request a change to your order provided the order has not been processed or shipped. Changes need to be made quickly so please call SIC 704-504-1127. We strongly discourage sending change order requests via email because it is unlikely we will receive the message in time to make an adjustment. If your order has been processed or shipped, please refer to our Return Procedures and Policies.

Cancel Orders

You may request that an order be cancelled provided the order has not been processed or shipped. Cancellations need to be made quickly so please call SIC 704-504-1127. We strongly discourage sending cancellation requests via email because it is unlikely we will receive the message in time to make an adjustment. A credit for the full amount will be credited to your credit/debit card within 1-2 business days. If your order has been processed or shipped, please refer to our Return Procedures and Policies.

Resellers

Verification of reseller status requires documentation including business license, verification that your company regularly engages in business directly related to the soundproofing market, credit application and assurance of payment by an office of the company. Application does not guarantee that reseller status will be awarded.

Volume Discounts

SIC can provide volume discounts upon request. Any discounts are applicable only at the entire quantity of product(s) quoted. Discounts cannot be applied retro actively, nor are they assured for future orders at any quantity.

Product Listings

SIC makes every effort to post accurate item descriptions, photographs, detailed specifications, pricing, links and any other product information on our website. SIC does not guarantee full accuracy on the website due to human error. SIC shall have the right to refuse and/or cancel any order and immediately amend, correct, and/or remove any inaccurate information. Prices and availability may be subject to change without prior notice. Due to monitor capabilities and variations, SIC cannot guarantee product images match actual product color. SIC cannot guarantee use of our website will be uninterrupted and/or error-free.

Product Revisions

SIC is not responsible for changes or variations of product specifications and/or physical appearance. SIC puts forth its best efforts to ensure that all product information on the website is accurate. Unpredictable changes by manufacturers, although infrequent, could cause the information on our website to become outdated without our immediate knowledge. SIC relies on the manufacturer to communicate product changes. Presently, we have no way of alerting customers prior to purchase in the event the manufacturer fails to do so. Therefore, SIC will not be held responsible for product changes.

Governing Law & Jurisdiction

Any dispute arising out of or relating to these Terms and Conditions or the sales transaction between Sound Isolation Company and the Customer shall be governed by the laws of the state of North Carolina, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. Sound Isolation Company and Customer consent to the exclusive jurisdiction and the exclusive venue of the state and/or federal courts located in Mecklenburg County, North Carolina, to resolve any dispute between them, related hereto. Both Sound Isolation Company and Customer waive all rights to contest this exclusive jurisdiction and venues of such courts. Finally, the Customer also agrees not to bring any legal theory including contract, tort, equity or otherwise, against Sound Isolation Company, more than one year after the date of the applicable transaction.

Severability

If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under North Carolina law.

Entire Agreement

These Terms and Conditions, together with SIC’s invoice regarding the products order by Customer, are the complete and exclusive agreement between SIC and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between SIC and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.

Limitation of Liability

In all circumstances, SIC’s maximum liability is limited to the purchase price of the products sold. SIC shall not, under any circumstances, be liable upon a claim or action in contract, tort, indemnity or contribution, or other claims relation to the products it sells which exceeds this liability limit. SIC shall not be liable for third party claims for damages against the Customer, or for malfunction, delays, loss of business, loss or damage to exemplary damages, whether or not SIC has been made aware of the possibility of such claims and damages.

Specifically, SIC shall not be liable for inadequate installation of products directly due to the Customer’s failure to read all installation instructions and guidelines. It is the Customer’s responsibility to verify that installation instructions have been provided via email before starting the installation of any products. SIC shall not liable for any associated damages related to the failure of the Customer to follow product installation guidelines. In doubt, Customer should be advised to consult with our Customer Service Department before beginning installation to ensure Customer fully understands installation procedures.
SIC’s products have specific acoustic properties intended to improve specific and corresponding locations and acoustical issues. SIC shall not be liable for improper use of products. In doubt, Customer should be advised to consult with our Customer Service Department before purchasing products, to ensure Customer is ordering the correct product specific to their acoustic issue.
SIC shall not be liable for failure to meet federal, state, and/or local noise, fire and building codes. It is the sole responsibility of the Customer to be aware of these guidelines and purchase products accordingly. SIC shall not be liable for any associated damages related to the failure of the Customer to adhere to aforementioned guidelines.

SIC shall not be liable for claims for damages related to improper installation and use of polyurethane foam products. All polyurethane buyers have been made aware of the following warning:

FLAMMABILITY WARNING: All polyurethane foams, including combustion-modified foams, will burn. Do not expose to any flame source. Once ignited, they can produce rapid flame spread, intense heat, dense smoke and toxic gases, causing severe injury or death. Warnings should be given to your employees and customers. Test data does not necessarily reflect the foam’s performance under actual fire conditions. Before purchasing any foam, be sure to check with your local code officials to confirm the required flammability rating of exposed materials for your area.

Acoustic Results

100% soundproof is not possible. SIC does not guarantee typical acoustic results due to customer-specific acoustic conditions. Performance of a product in the field, coinciding with unpredictable customer-specific issues, may not have the same acoustic result as product performance in a laboratory. Unpredictable customer-specific issues include but are not limited to building construction, current wall, ceiling or floor construction, uncontrolled noise from neighboring units, uncontrolled noise from outside, improper installation of Customer product, or improper use of Customer product.

SIC does not guarantee test results performed under laboratory conditions will yield the same result under field conditions. These tests include Sound Transmission Class, Impact Insulation Class and Noise Reduction Coefficient. Additionally, polyurethane foam test data does not necessarily reflect the performance of the foam under actual fire conditions. Manufacturer’s Warranties

SIC’s products are not under any warranty unless expressly printed on an item, its packaging, or otherwise contained in the product shipment. For warranty questions and issues, contact us 704-504-1127.
